Terms of Service

Welcome to Dwixel. These Terms of Service (“Terms”) govern your access to and use of the Dwixel platform, including our website at dwixel.com and all related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use Dwixel.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations.

1. Definitions

  • “Dwixel”, “we”, “us”, or “our” refers to Dwixel Ltd, a private limited company registered in England and Wales (Company No. 16994994), with its registered office at Flat 41 Halley House, 32 Westmoreland Road, London, NW9 9DR, England.
  • “You” or “User” refers to any individual or entity that accesses or uses the Service.
  • “Content” means any text, documents, images, files, data, or other materials that you create, upload, share, or store through the Service.
  • “Service” refers to the Dwixel platform, including the collaborative document editor, project management tools (Kanban boards), team chat, video calls, whiteboard, AI writing assistance, and any other features we provide.

2. Eligibility

You must be at least 16 years of age to use Dwixel. This threshold aligns with the age of digital consent under the UK General Data Protection Regulation (UK GDPR). By using the Service, you represent and warrant that you meet this age requirement.

If you are using Dwixel on behalf of an organisation (such as a university, business, or other entity), you represent that you have the authority to bind that organisation to these Terms, and “you” shall refer to both you individually and the organisation.

3. Account Registration

To access most features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Keep your password secure and confidential. You are responsible for all activity that occurs under your account;
  • Notify us immediately at business@dwixel.com if you suspect any unauthorised access to your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Description of the Service

Dwixel is a collaborative workspace designed for teams and individuals. The Service includes, but is not limited to:

  • Document Editor — a real-time collaborative rich-text editor with support for formatting, tables, images, and more;
  • Project Management — Kanban-style boards for organising tasks and tracking progress;
  • Team Chat — real-time messaging for team communication;
  • Video Calls — integrated video and voice conferencing;
  • Whiteboard — a collaborative visual canvas for brainstorming and diagramming;
  • AI Writing Assistance — optional AI-powered tools to help with drafting, editing, and improving your documents.

We may add, modify, or discontinue features at any time. We will endeavour to provide reasonable notice of significant changes, but are not obligated to maintain any particular feature.

5. Acceptable Use

You agree to use Dwixel only for lawful purposes and in accordance with these Terms. You shall not:

  • Facilitate academic dishonesty — use Dwixel to plagiarise, submit AI-generated work as your own in violation of your institution’s academic integrity policies, or otherwise engage in academic misconduct;
  • Upload illegal content — store, share, or transmit any content that is unlawful, defamatory, obscene, hateful, or that infringes upon the intellectual property or privacy rights of others;
  • Distribute malware — upload viruses, trojans, worms, or any other malicious code or software;
  • Scrape or harvest data — use automated tools, bots, spiders, or scrapers to extract data from the Service without our prior written consent;
  • Reverse engineer — decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Service;
  • Circumvent security — attempt to bypass, disable, or interfere with any security features, access controls, or usage limits of the Service;
  • Impersonate others — misrepresent your identity or affiliation with any person or organisation;
  • Abuse the Service — engage in any activity that places an unreasonable or disproportionately large load on our infrastructure, or that disrupts or degrades the experience for other users.

We reserve the right to investigate and take appropriate action against any violations of this section, including removing Content, suspending access, or terminating your account.

6. Content Ownership and Licence

Your Content

You retain full ownership of any Content you create, upload, or share through Dwixel. We do not claim any intellectual property rights over your Content.

By using the Service, you grant Dwixel a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, display, and distribute your Content solely for the purpose of operating, maintaining, and providing the Service to you and your collaborators. This licence terminates when you delete your Content or your account, except where copies have been shared with other users or where retention is required by law.

Our Content

The Dwixel name, logo, branding, and all software, design elements, and documentation comprising the Service are owned by Dwixel Ltd or its licensors and are protected by copyright, trade mark, and other intellectual property laws. You may not use our branding without prior written permission.

7. AI Writing Assistance

Dwixel offers optional AI-powered writing tools to assist with content creation and editing. By using these features, you acknowledge that:

  • AI-generated suggestions are provided “as is” and may contain errors, inaccuracies, or biases. You are solely responsible for reviewing and verifying any AI-assisted output before use;
  • Content you submit to AI features may be processed by third-party AI providers. We take reasonable steps to protect your data, but you should avoid submitting sensitive personal information to AI tools;
  • You are responsible for ensuring that your use of AI-generated content complies with your institution’s or organisation’s policies on AI assistance and academic integrity.

8. Privacy and Data

Your privacy matters to us. Our use and handling of your personal data is governed by our Privacy Policy (available separately). Key points relevant to these Terms:

  • Your data is stored securely using Supabase infrastructure with encryption at rest and in transit;
  • We process personal data in accordance with the UK GDPR and the Data Protection Act 2018;
  • We will not sell your personal data to third parties;
  • You may request access to, correction of, or deletion of your personal data by contacting us at business@dwixel.com.

9. Payments and Billing

Dwixel is currently offered free of charge. Should we introduce paid plans or premium features in the future, the following terms will apply:

  • Payments will be processed securely through Stripe. We accept Visa, Mastercard, and American Express;
  • All prices will be displayed in GBP unless otherwise stated;
  • We will provide reasonable advance notice of any pricing changes;
  • Specific refund and cancellation policies will be published alongside any paid offering.

10. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to authentication providers, payment processors (Stripe), AI providers, and cloud infrastructure. These third-party services have their own terms of service and privacy policies, and we are not responsible for their practices. Your use of third-party services is at your own risk.

11. Availability and Modifications

We strive to keep Dwixel available and reliable, but we do not guarantee uninterrupted or error-free operation. We may:

  • Perform scheduled or emergency maintenance that may temporarily affect availability;
  • Modify, update, or discontinue any part of the Service at any time;
  • Change these Terms from time to time. We will notify you of material changes by posting an updated version on our website or by sending you an email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12. Account Suspension and Termination

By you: You may delete your account at any time through your account settings or by contacting us at business@dwixel.com. Upon deletion, we will remove your personal data in accordance with our Privacy Policy, subject to any legal retention obligations.

By us: We may suspend or terminate your account, without prior notice, if:

  • You breach any provision of these Terms;
  • Your use of the Service poses a security risk or may cause harm to other users;
  • We are required to do so by law or a court order;
  • Your account has been inactive for an extended period and we have given reasonable notice.

Upon termination, your right to use the Service ceases immediately. We may, at our discretion, provide you with a reasonable opportunity to export your Content before deletion.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be secure, uninterrupted, timely, or error-free, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content available through the Service, including AI-generated output.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Dwixel Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of (or inability to use) the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

15. Indemnification

You agree to indemnify and hold harmless Dwixel Ltd and its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your Content;
  • Your breach of these Terms;
  • Your violation of any applicable law or the rights of any third party.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Dwixel regarding your use of the Service and supersede all prior agreements and understandings.
